These Terms govern your use of the LadderVault interface and the smart contracts it helps you interact with. Please read them carefully — they explain what LadderVault is, what it is not, and the risks you take on when you use it.
1. Acceptance and eligibility
By accessing or using the LadderVault websites and application (including laddervault.io, app.laddervault.io, and related interfaces — the "Interface"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Interface.
You may use the Interface only if:
- you are at least 18 years old, or the age of majority in your jurisdiction, whichever is greater;
- you are not located in, resident of, or accessing the Interface from a jurisdiction where using it is prohibited, and you are not subject to any sanctions administered by any competent authority;
- you have the legal capacity to enter into these Terms and will use the Interface in compliance with all laws that apply to you.
You are solely responsible for determining whether your use of the Interface is lawful where you are.
2. Non-custodial nature
LadderVault is non-custodial software. We never take custody of your funds, your tokens, or your private keys, and we never have access to them.
When you open your first position, LadderVault deploys a personal vault contract — a clone that only you own — and your positions live there. Funds held in your vault can only ever move to you, the owner, or to the protocol fee collector up to a capped rate. The vault owner cannot be changed, and the contracts are not upgradeable.
You hold your own keys and you personally sign every transaction from your own wallet. Because of this:
- we cannot move, freeze, seize, or recover your assets;
- we cannot reverse, cancel, or alter a transaction once you have signed and broadcast it;
- you are solely responsible for the security of your wallet, your seed phrase, and your devices, and for every transaction you authorize.
The Interface helps you construct unsigned transactions and preview them. The decision to sign and broadcast is always yours alone.
3. No financial advice
Nothing on the Interface is financial, investment, legal, accounting, or tax advice, and nothing here is a recommendation or solicitation to buy, sell, or hold any asset or to adopt any strategy.
Presets, ladder shapes, charts, estimates, and any figures shown are informational and illustrative only. They may be inaccurate or out of date. You are solely responsible for your own decisions and should consult your own qualified, licensed advisors before providing liquidity or transacting.
4. Risks
The LadderVault smart contracts are immutable and have not been audited. The software is beta and experimental. Bugs, errors, or exploits could result in the partial or total, permanent loss of your funds. Do not deposit more than you can afford to lose entirely.
Providing concentrated liquidity is inherently risky. By using the Interface and the contracts you acknowledge and accept, among others, the following risks:
- Impermanent loss. As prices move, the value of your position can fall below the value of simply holding the underlying tokens, and this loss can exceed any fees you earn.
- Smart-contract risk. The contracts are immutable and unaudited. A flaw or exploit cannot be patched and could drain your vault.
- Total loss of funds. You may lose some or all of the value you deposit. There is no guarantee you will earn any fees or achieve any return.
- Market and liquidity risk. Prices, volatility, and pool liquidity can change sharply and unpredictably.
- Execution risk. Automated take-profit and stop-loss actions depend on on-chain conditions, gas, and third-party infrastructure, and may not execute, may execute late, or may execute at a price different from the one you set.
- Network and infrastructure risk. Blockchain congestion, reorganizations, RPC outages, wallet bugs, or front-running can cause failed, delayed, or unfavorable transactions.
You use the Interface and the contracts entirely at your own risk.
5. Fees
The LadderVault platform fee is charged only on the trading fees your positions earn from the underlying pool. It is never charged on the principal you deposit, and never on price appreciation of your assets.
At launch, the platform fee rate is zero. The rate may change only through an on-chain timelock, and it is capped by a hard-coded maximum in the contracts. Earned fees, if any, are collected to the protocol fee collector up to that capped rate; the remainder is always yours.
Separately, you pay network gas fees and any fees charged by the underlying decentralized exchange or pool. These are set by third parties and the network, not by LadderVault, and are outside our control.
6. Prohibited use
You agree not to use the Interface:
- from a prohibited jurisdiction, or while subject to sanctions, or on behalf of any sanctioned person or entity;
- for money laundering, terrorist financing, tax evasion, fraud, or any other unlawful activity, or to move proceeds of crime;
- to exploit, attack, probe, overload, or interfere with the contracts, the Interface, or the infrastructure behind them, including any attempt to gain unauthorized access;
- to manipulate a market, engage in wash trading, or otherwise deceive other participants;
- to infringe the rights of others, or to violate any applicable law or regulation;
- to circumvent any access restriction, or to scrape or abuse the Interface through automated means not expressly permitted.
7. No warranty
The Interface and the contracts are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Interface or contracts will be available, uninterrupted, timely, secure, accurate, complete, or error-free, that defects will be corrected, or that the contracts are free of vulnerabilities. No advice or information you obtain from the Interface creates any warranty not expressly stated here.
8. Limitation of liability
To the maximum extent permitted by law, LadderVault and its contributors, developers, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of funds, tokens, profits, revenue, data, or goodwill, arising out of or relating to your use of, or inability to use, the Interface or the contracts — whether based in contract, tort, strict liability, or any other theory, and whether or not we have been advised of the possibility of such damages.
You acknowledge that you interact with the contracts directly and at your own risk, and that you assume full responsibility for your decisions and transactions.
9. Third-party protocols and services
Using the Interface may involve third-party protocols and services, including Uniswap and PancakeSwap, the blockchain networks LadderVault supports (Base, BNB Chain, Ethereum, and Robinhood Chain), RPC and node providers, wallet software, and Telegram (if you choose to connect it).
These are independent third parties. They are not operated or controlled by LadderVault, and we are not responsible for their availability, security, performance, fees, or conduct. Your use of them is governed by their own terms and policies, and you interact with them at your own risk.
10. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Changes take effect when posted, and your continued use of the Interface after that means you accept the revised Terms. If you do not agree with a change, stop using the Interface.
